Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the Canada Legal Center website (the "Site"), our newsletter, our digital products (including templated agreements and guidance notes), our referral services, and any related services, features, or communications (collectively, the "Services"). The Services are operated by 1971308 Alberta Corp., Alberta, Canada ("we," "us," "our").

By accessing or using the Services, subscribing to the newsletter, purchasing a product, or submitting information to us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Legal information, not legal advice

The Services provide general legal information only. Nothing on the Site, in the newsletter, in any template or guidance note, or in any communication from us constitutes legal advice, creates a solicitor-client, attorney-client, fiduciary, or other professional relationship, or substitutes for advice from a qualified lawyer licensed in your jurisdiction who has been retained to advise on your specific circumstances.

Content on the Site is written from statutes, regulations, and official sources, is dated as of its publication date, and applies only to the jurisdictions identified in each article. Law changes, and its application varies with the facts. We do not warrant that any content is current, complete, or applicable to your situation. You rely on the Services at your own risk.

2. No confidential information

Do not send us confidential or privileged information. Communications you send us — including inquiries, corrections, and form submissions — are not protected by solicitor-client privilege. Any duty of confidentiality owed to you arises, if at all, only under our Privacy Policy, not under any professional duty.

3. Referral services

If you ask to be connected with a third-party lawyer, law firm, or other professional or service provider (a "Referral Partner"):

  • We are not a law firm and do not provide legal services. Referral Partners are independent third parties, not our employees, agents, or partners.
  • We make no representation or warranty about any Referral Partner's qualifications, competence, licensing status, availability, pricing, or the quality or outcome of their services. Selecting, vetting, retaining, and instructing a Referral Partner is solely your responsibility, and any engagement is between you and the Referral Partner on terms you agree with them.
  • We may receive fees or other compensation from Referral Partners in connection with referrals. This does not increase the price you pay unless the Referral Partner tells you otherwise.
  • We are not liable for any act, omission, advice, service, or billing practice of any Referral Partner.

4. Digital products: license and restrictions

When you purchase a templated agreement, guidance note, or other digital product (a "Product"), we grant you a non-exclusive, non-transferable, non-sublicensable license to use the Product for your own personal or internal business purposes, including adapting it for use in a transaction to which you or your organization is a party.

You may not:

  • resell, redistribute, publish, or publicly post any Product, in original or modified form;
  • provide any Product to third parties as part of a paid service, or represent any Product as your own work;
  • use any Product to provide legal advice or legal services to others unless you are a lawyer authorized to practise in the relevant jurisdiction, in which case your use is subject to your own professional obligations.

Products are general-purpose starting points. They are not tailored to your facts or jurisdiction, may require modification to be enforceable or appropriate, and may not reflect legal developments after their publication date. We do not warrant that any Product is fit for your purpose or will achieve any particular outcome. Have a qualified lawyer review any agreement before you sign it.

5. Purchases, payment, and refunds

  • Prices are as listed on the Site, in Canadian dollars, plus applicable taxes. We may change prices at any time before your purchase.
  • Payment is processed by third-party payment processors under their own terms and privacy policies. We do not store your full payment card number.
  • Products are delivered electronically (by download or email) upon payment. You are responsible for providing an accurate email address and for maintaining access to delivered files.
  • Except as required by applicable law, all sales of digital Products are final once delivered, given their instantly accessible nature. If a Product is corrupted, misdescribed, or fails to deliver, contact us and we will re-deliver, repair, or refund it at our discretion.
  • We may refuse or cancel any order, including for pricing errors or suspected fraud.

6. Intellectual property

The Services, including all articles, templates, guidance notes, text, design, and branding, are owned by or licensed to us and protected by copyright and other intellectual property laws. Except for the limited license in Section 4 and your right to view and share links to public articles for non-commercial purposes, no part of the Services may be copied, reproduced, republished, scraped, or used to train machine-learning models without our prior written consent.

7. Acceptable use

You agree not to:

  • use the Services for any unlawful purpose or in violation of any applicable law;
  • scrape, crawl, or bulk-download the Site by automated means without our written consent;
  • interfere with or compromise the security or operation of the Services;
  • submit false, misleading, or fraudulent information, including in forms, purchases, or referral requests;
  • misrepresent your identity or affiliation; or
  • use the Services to send unsolicited commercial messages.

8. Third-party sites and services

The Services link to third-party websites and resources, including government sources and Referral Partner sites, and rely on third-party services such as payment processors. We do not control and are not responsible for third-party content, terms, or practices.

9. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and disclose personal information — including, where you consent, sharing your information with Referral Partners. By providing information to us you consent to those practices. Marketing emails are sent in accordance with Canada's Anti-Spam Legislation, and you may unsubscribe at any time.

10. Disclaimers

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, CURRENCY, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT OR PRODUCT IS CURRENT, COMPLETE, OR SUITABLE FOR YOUR CIRCUMSTANCES.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, ANY PRODUCT, ANY CONTENT, OR ANY REFERRAL PARTNER, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not permit the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services or any Product, your breach of these Terms, your violation of any law or third-party right, or any transaction or dispute between you and a Referral Partner.

13. Changes to the Services and these Terms

We may modify or discontinue any part of the Services at any time without notice. We may update these Terms from time to time by posting a revised version with a new "Last updated" date. Changes apply prospectively to use after the effective date; your continued use of the Services constitutes acceptance. Purchases are governed by the Terms in effect at the time of purchase.

14. Suspension and termination

We may suspend or terminate your access to the Services at any time, without notice, for conduct we believe violates these Terms or is harmful to us, other users, or third parties. Sections that by their nature should survive termination (including Sections 1–4, 6, and 10–16) survive.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any non-excludable consumer rights in your province or territory of residence, you agree to the exclusive jurisdiction of the courts of Calgary, Alberta for any dispute arising out of or relating to these Terms or the Services.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transaction. The parties confirm that it is their wish that these Terms and all related documents be drawn up in English.
